These Terms of Use govern access to and use of the websites, applications, payment tools, rewards programs, marketing capabilities, customer insights, and related services provided by Worthify, Inc. (“Worthify,” “we,” “us,” or “our”).
By creating an account, accessing the Services, or using Worthify through a participating merchant, you agree to these Terms.
1. About Worthify
Worthify provides connected commerce tools that help independent businesses accept payments, manage online ordering, operate rewards programs, communicate with customers, and understand customer activity.

2. Who May Use Worthify
You must be at least 18 years old—or the age of majority where you live—and legally capable of entering into an agreement to create a merchant account.
If you use Worthify on behalf of a business, you confirm that you are authorized to accept these Terms on its behalf.
3. Merchant Accounts
Merchants must provide complete and accurate account information and keep it current.
You are responsible for:
Protecting your account credentials.
Activity conducted through your account.
Configuring your products, locations, rewards, messages, and customer experiences.
Ensuring employees and authorized users use Worthify appropriately.
Notifying us promptly of unauthorized access.
We may require identity, business, banking, or tax information to provide certain Services.
4. Payments
Worthify may enable merchants to accept in-person and online payments through third-party payment processors, including Stripe.
Payment processing is subject to the processor’s terms, verification requirements, prohibited-business rules, and privacy practices. Worthify is not a bank and does not independently provide payment-processing or banking services.
Merchants are responsible for:
Prices, taxes, refunds, disputes, and chargebacks.
Accurately describing products and services.
Fulfilling customer orders.
Complying with applicable payment and consumer-protection laws.
Maintaining an eligible payment-processor account.
Payment availability may vary by country, device, processor, and business category.
5. Subscriptions and Fees
Certain Worthify features require a paid subscription. Prices, billing periods, usage limits, transaction fees, and applicable taxes will be presented before purchase.
Subscriptions renew automatically unless cancelled before the next renewal date. Cancellation prevents future renewal but does not normally provide a refund for the current billing period, except where required by law or expressly stated otherwise.
We may change pricing or plan features by providing reasonable advance notice. Continued use after a change takes effect constitutes acceptance of the updated pricing.
6. Rewards Programs
Merchants control the structure of their rewards programs, including earning rules, redemption requirements, available rewards, expiration rules, and program availability.
Unless expressly stated otherwise:
Rewards and points have no cash value.
Rewards cannot be transferred between unrelated merchants.
Merchants are responsible for honouring rewards they offer.
Worthify may correct balances affected by fraud, error, reversal, or misuse.
A merchant may change or discontinue its program subject to applicable law.
Worthify provides the technology supporting the program but is not the seller of the merchant’s products or services.
7. Marketing and Customer Communications
Worthify may allow merchants to send email, wallet, push, or other communications to customers.
Merchants are responsible for:
Obtaining any legally required consent.
Providing accurate sender information.
Honouring unsubscribe and communication-preference requests.
Ensuring messages comply with applicable laws, including Canada’s Anti-Spam Legislation.
Avoiding misleading, abusive, discriminatory, or unlawful content.
Worthify may send operational or transactional communications necessary to provide the Services, including receipts, order updates, security notices, and account messages.
8. Merchant Content
Merchants may upload logos, images, menus, product information, messages, offers, and other materials.
You retain ownership of your Merchant Content. You grant Worthify a non-exclusive, worldwide licence to host, reproduce, format, display, and process that content as necessary to provide and improve the Services.
You confirm that you have the rights required to upload and use your content.
9. Customer Information
Merchants may access customer information collected through their Worthify experience. Personal information remains subject to applicable privacy laws and Worthify’s Privacy Policy.
Access to customer information does not give a merchant unrestricted ownership over an individual’s personal information. Merchants must use customer information only for legitimate, disclosed, and legally permitted purposes.
10. Acceptable Use
You may not use Worthify to:
Violate any law or third-party right.
Process fraudulent or unauthorized transactions.
Send spam or communications without required consent.
Sell unlawful, counterfeit, or prohibited products.
Interfere with the security or operation of the Services.
Access another user’s account without authorization.
Reverse engineer or attempt to extract Worthify source code.
Upload malware or harmful content.
Misrepresent your identity, business, products, or offers.
Collect or use customer information unlawfully.
We may investigate suspected misuse and suspend or terminate access where reasonably necessary.
11. Third-Party Services
Worthify may connect with services such as Stripe, Apple Wallet, Google Wallet, email providers, hosting providers, and analytics services.
Third-party services are governed by their own terms and policies. Worthify is not responsible for third-party outages, decisions, products, or changes outside our reasonable control.
12. Intellectual Property
Worthify and its licensors own the Services, software, designs, trademarks, documentation, and related intellectual property.
These Terms provide a limited right to use the Services. They do not transfer ownership of Worthify’s intellectual property.
13. Availability and Changes
We may update, improve, restrict, or discontinue portions of the Services. We do not guarantee that every capability will remain available in every country, device, plan, or integration.
We aim to provide reliable Services but do not guarantee uninterrupted or error-free operation.
14. Suspension and Termination
You may stop using Worthify or cancel your subscription at any time.
We may suspend or terminate access if you:
Materially violate these Terms.
Create security, fraud, or legal risk.
Fail to pay applicable fees.
Use the Services in a way that could harm Worthify, merchants, customers, or third parties.
Provisions concerning payment obligations, intellectual property, disclaimers, liability, and disputes survive termination.
15. Disclaimers
To the maximum extent permitted by law, the Services are provided “as is” and “as available.”
Worthify does not guarantee specific revenue, customer retention, program adoption, marketing performance, or business outcomes.
Nothing in these Terms excludes warranties or rights that cannot legally be excluded.
16. Limitation of Liability
To the maximum extent permitted by law, Worthify will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost data, lost business, or reputational harm.
Worthify’s aggregate liability arising from the Services will not exceed the greater of:
The amount paid to Worthify during the 12 months preceding the event giving rise to the claim; or
USD $100.
These limitations do not apply where prohibited by law.
17. Indemnification
If you use Worthify as a merchant, you agree to indemnify and hold Worthify harmless from third-party claims arising from your products, services, content, rewards program, communications, legal violations, or misuse of the Services.
This obligation does not apply to the extent a claim was caused by Worthify’s own unlawful conduct.
18. Governing Law
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles.
Subject to rights that cannot be waived, disputes will be brought in the state or federal courts located in Delaware.
Applicable consumer-protection rights in Canada or another jurisdiction remain unaffected where they cannot legally be waived.
19. Changes to These Terms
We may update these Terms periodically. If changes are material, we will provide reasonable notice through the Services, by email, or by another appropriate method.
Continued use after the updated Terms take effect constitutes acceptance of those changes.
